    Master Service Agreement

    This master service agreement (the "Master Service Agreement") and its appendices (together, the "Agreement") is entered into between Talentium AB, reg. no. 559451-7749, ("Talentium"), and the company that you represent (the "Customer"). The parties are hereinafter jointly referred to as the "Parties" and individually as a "Party".

    • you accept this Agreement and agree that the Customer will be legally bound by its terms; and
    • you represent and warrant that you have the right, power and authority to enter into this Agreement on behalf of the Customer.

    1. Background

    1.1. Talentium provides a hiring platform to business customers using AI in order to reduce the amount of time recruiters and hiring managers spend on sourcing talent (the "Platform").

    1.2. Talentium offers a number of different subscription plans to the Platform, which may include different services, features, subscription terms, billing cycles, renewal mechanics and payment methods. The services included in the Customer’s selected subscription plan, as made available on Talentium’s website or in an applicable order acknowledgement, proposal or other written agreement, constitute the services to be provided by Talentium to the Customer under this Agreement (the "Services").

    1.3. The Customer may subscribe to the Services or request changes to its subscription plan or the number of licenses included in a subscription plan either:

    (i) via Talentium’s website (self-service), where the subscription plans, features, subscription terms, billing cycles, renewal mechanics and payment methods then made available by Talentium for self-service purchase apply; or

    (ii) via order acknowledgement, proposal or other written agreement (sales-assisted), in which case the subscription plans, features, subscription terms, billing cycles, renewal mechanics and payment methods set out therein apply.

    1.4. Certain subscription plans, features, subscription terms, billing cycles, renewal mechanics and payment methods may only be available on a self-service basis or on a sales-assisted basis, as specified on Talentium’s website or in the applicable order acknowledgement, proposal or other written agreement. When applicable, Talentium may provide the Customer with an order acknowledgement confirming the Customer’s subscription or change request.

    1.5. The Parties have agreed that Talentium shall provide the Services to the Customer in accordance with the applicable subscription plan, subscription term, billing cycle and any applicable order acknowledgement, proposal or other written agreement, in each case together with the terms and conditions set out in this Agreement.

    1.6. For the avoidance of doubt, this Agreement does not apply to consumers and the Platform may only be used for professional business purposes.

    2. Definitions and Appendices

    2.1. Definitions

    Capitalized terms in this Agreement are either defined directly in the sections where the terms are used or defined in Appendix 1 (Terms and Conditions).

    2.2. Appendices

    2.2.1. The Agreement consists of this Master Service Agreement and the appendices listed below. All appendices accompanying this main document shall be integrated parts of the Agreement:

    • Appendix 1 – Terms and Conditions
    • Appendix 2 – Data Processing Agreement
    • Appendix 3 – Joint Controller Agreement

    2.2.2. In case of any inconsistency between this document and any of the appendices listed above, this document shall prevail and thereafter the appendices in the order listed above. The aforementioned does not apply to Appendix 2 (Data Processing Agreement) and Appendix 3 (Joint Controller Agreement) in relation to rights and obligations related to the processing of personal data where said appendices shall take precedence.

    3. Trial Use of the Service

    3.1. Talentium may, from time to time, offer the Customer a possibility to try an agreed subscription plan of the Services for an agreed trial period, free of charge (the "Trial Services"). Talentium reserves the right to cancel a trial period at any time without any liability, to the extent permitted in accordance with applicable law.

    3.2. If the Customer registers for a trial account to use the Trial Services, the applicable terms and conditions of this Agreement will also govern such use.

    3.3. The Customer may only register for a trial account if the Customer is not an existing or former customer of Talentium.

    3.4. The Customer shall provide its payment details in order to start the Trial Services.

    3.5. All trial accounts and the Trial Services are provided "as is" and "as available" without any warranty of any kind. Trial accounts may be suspended, terminated, or discontinued at any time and for any reason (or no reason). Talentium disclaims all obligation and liability under the Agreement (including liability otherwise provided for under Clause 14 (Limitations of Liability) of Appendix 1 (Terms and Conditions) for any harm or damage arising out of or in connection with the Trial Services and trial accounts, including any obligation or liability with respect to Customer Data. Any configurations or Customer Data entered into Trial Services by way of trial accounts, and any customizations made to Trial Services and/or trial accounts by or for the Customer, may be permanently lost if the Trial Services and/or trial accounts are suspended, terminated, or discontinued.

    3.6. At the expiry of the trial period and if the Customer has not informed Talentium whether the Customer wants to upgrade or downgrade to another subscription plan of the Services, the Agreement and the selected subscription plan will continue to apply between the Parties and Talentium will continue providing the Services to the Customer in accordance with the previously agreed subscription plan, if not otherwise agreed. The Customer has the option to terminate the Trial Services within the trial period without any charge. In order to terminate the Trial Services, see Clause 5 (Term of the Agreement) below.

    3.7. If the Customer has not terminated the Trial Services within the trial period, Talentium will automatically start charging the Customer for the paid Service at the selected payment interval from the first day after the trial period. The Customer will thereafter be charged for the Services at the selected payment interval in accordance with this Agreement (see Clause 6 (Fees and payment terms)).

    4. Provision of the Services

    4.1. The Services shall include a subscription to the number of User licenses specified in the applicable subscription plan or order acknowledgement(s) under the terms and conditions set out in Appendix 1 (Terms and Conditions).

    4.2. Upon Customer’s request, the Customer may, subject to the subscription options then made available by Talentium, purchase additional User licenses, upgrade, downgrade or otherwise change its subscription plan. Upgrades and additional User licenses may, where applicable, take effect immediately and be charged on a prorated basis for the remainder of the current billing cycle or subscription term. Downgrades and other changes that reduce the Services shall take effect at the end of the current billing cycle or subscription term, unless otherwise agreed. A change between self-service and sales-assisted purchase channels may require a new order acknowledgement, proposal or other written agreement.

    4.3. Talentium shall provide the Services according to the terms and conditions further specified in Appendix 1 (Terms and Conditions).

    5. Term of the Agreement

    5.1. This Agreement shall enter into force on the Effective Date and shall continue to be in effect until the Agreement is terminated by either Party in accordance with this Agreement.

    5.2. The Customer’s access to and use of the Services is governed by the subscription plan, subscription term and billing cycle selected by the Customer. For the purposes of this Agreement, subscriptions are divided into Monthly Subscriptions and Fixed-Term Subscriptions. Annual subscriptions and subscriptions with an agreed subscription term of a specified number of months are Fixed-Term Subscriptions unless otherwise expressly stated.

    For Monthly Subscriptions:

    • (i) subscriptions automatically renew for successive billing cycles;
    • (ii) the Customer may cancel at any time;
    • (iii) cancellation or non-renewal takes effect at the end of the current billing cycle; and
    • (iv) no notice period applies.

    For Fixed-Term Subscriptions:

    • (i) subscriptions apply for the agreed subscription term;
    • (ii) subscriptions may not be terminated early for convenience;
    • (iii) subscriptions automatically renew for successive equivalent subscription terms; and
    • (iv) either Party may prevent renewal by providing at least thirty (30) days’ notice prior to the end of the then-current subscription term.

    5.3. This Agreement may be terminated or non-renewed by either Party:

    (i) for self-service subscriptions, by the Customer through the applicable platform or account portal, where available; or

    (ii) for sales-assisted subscriptions, in writing and in accordance with the notice clause in the terms and conditions.

    For Monthly Subscriptions, termination or non-renewal takes effect at the end of the current billing cycle. For Fixed-Term Subscriptions, termination or non-renewal takes effect at the end of the current subscription term, and Fixed-Term Subscriptions may not be cancelled for convenience before expiry of the current subscription term. However, Talentium’s termination of the Agreement due to the Customer’s material breach shall take effect immediately.

    5.4. The confidentiality provisions of Clause 10 (Confidentiality) in Appendix 1 (Terms and Conditions) shall continue in effect regardless of whether the Services are terminated.

    5.5. If the Customer terminates the Agreement in accordance with Clause 16.2 of the terms and conditions (Changes to this Agreement and the Services), Talentium will refund prepaid fees where required by applicable law.

    6. Fees and Payment Terms

    6.1. Fees

    6.1.1. The fees that the Customer shall pay to Talentium for the Services are set out in the price list applicable from time to time or in an applicable order acknowledgement. The fees are stated exclusive of VAT, other taxes and duties, and charges. Fees for other services or products that are not stated in the applicable order acknowledgement shall be paid for in accordance with the price list applicable from time to time.

    6.1.2. Talentium may reasonably increase the fees for the Services per calendar year, subject to ninety (90) days’ notice before such price adjustments take effect. For Monthly Subscriptions, any such price increase shall take effect from the next billing cycle following expiry of the notice period. For Fixed-Term Subscriptions, any such price increase shall take effect from the next renewal term following expiry of the notice period, unless otherwise expressly stated in the applicable order acknowledgement or other written agreement.

    6.2. Payment and Invoicing

    6.2.1. The Customer shall provide Talentium with valid and updated payment information. The applicable payment method depends on the selected subscription plan, subscription term and purchase channel, and not all payment methods, billing cycles or subscription terms are available for all subscription plans. For self-service subscriptions, the Customer authorises Talentium to charge the payment method selected at checkout, such as a credit card or other electronic payment method accepted by Talentium, for recurring subscription fees.

    6.2.2. Fees are charged in advance for each applicable billing cycle specified in the selected subscription plan or in the applicable order acknowledgement, proposal or other written agreement.

    6.2.3. For sales-assisted subscriptions, payment may be made via invoice or other agreed payment method, as set out in the applicable order acknowledgement, proposal or other written agreement. Unless otherwise agreed, invoices shall be payable within thirty (30) days from the invoice date.

    6.2.4. The Customer is responsible for providing complete and accurate billing and contact information to Talentium and notifying Talentium of any changes to such information. The Customer shall provide Talentium with a valid VAT registration number at account registration or sign-up and is responsible for keeping its VAT registration details complete, accurate and up to date. If the Customer does not provide a valid VAT registration number, Talentium may charge VAT in accordance with applicable law based on the information available to Talentium at the time of invoicing. Requests for retroactive invoice adjustments due to the Customer’s failure to provide or update its VAT registration details will not be accommodated after thirty (30) days from the original invoice date, and Talentium may decline any such request received after that period.

    6.3. Overdue Charges and Suspension of Services

    6.3.1. In the event of a delay in payment, default interest and other compensation shall be paid in accordance with law.

    6.3.2. If any charge owing by the Customer under this Agreement is:

    (i) more than ten (10) days overdue in the case of card payments; or

    (ii) more than thirty (30) days overdue in the case of invoice payments, Talentium may, upon notice, suspend access to the Services until all outstanding amounts have been paid.

    7. Governing Law and Dispute Resolution

    The governing law and dispute resolution mechanism that apply to this Agreement is set out in Appendix 1 (Terms and Conditions).
